A Fog/Regenerate/Counterspell all in one card isn't too bad. It will never see play in any competitive decks, but for a casual format like EDH I suppose it's pretty decent.

holy day type spells makes it into quite a lot of tournament level decks (turbo fog anyone?). This is 1 more mana than holy day but has more options.

This would be great in Turbo Fog, because one glaring weakness of that archetype is that it gives lots of fuel to Burn decks, against which fog spells are mostly useless. But when you have a spell that can ward off blistering firecat OR Flame Javelin? Cool beans.

Easily one of the best charms

Which I guess isn't saying much, but fog if they're attacking or counter spell for a beefy burn spell when the attacking isn't working has saved my ass more times than I can count.

This card has saved my life about a hundred times. Overall though, I rarely use its 2nd or 3rd options, but I'll admit they're nice to have. It let's me breathe a little easier having it in my hand while in a multiplayer game, since it's very hard to kill me if all your creatures can't deal combat damage or your best spell gets fizzled.

The rest of the people in my group have realized this, and even if I have no blockers and nothing but two mana open and only a single card in my hand, as long as I keep cool they just mutter "Dawn charm" and attack someone else instead, despite me playing only one copy.

Evolution charm is better, but this one is still good. The rest from the cycle such though.

Three potentially game saving functions in one 2 cmc card. Like someone else said, this is one of the best candidates for Isochron Scepter due to it's utility:

Choose one:
Holy Day
Regenerate
or a limited Counterspell (which admittedly doesn't effect as much as you'd hope)

On a Scepter, that turns your deck into Turbo Fog against creature decks, saves your most important creatures against most destruction (especially since more and more people use Doom Blade instead of Terror), and can counter against burn decks.

Very nice card, all 3 effects are handy... it can handle oppoent's attacks, some creature removal or helps you against discard/mill/burn decks. Just nice.

Flexible cards like this are great; it's never a dead card. Against a creature deck, it stops their attackers one turn. Against a creatureless RDW-type deck, it eats one of their would-be finishers like Fireblast. Against removal, it saves one of your creatures. Even against a mono-blue mill deck you could still counter Traumatize.

People keep bringing up Regenerate, but it's based on Death Ward and Holy Day in white. White had its time outside of the color pie.

One of the best responses to Edict-based removal for UG Pauper. Laugh as your mono black opponents struggle to actually get your beefed up creatures off the field.
