Wow. I love this card.
After about 3 turns, every attack phase your opponent will be saying "***ing shadow".
And if your opponent ever has a shadow creature, they won't for long!
3.5, if it was a zombie/skeleton/vampire (or even a cleric) I'd give him 4.

2 for 1/1 shadow is ok.
It kills other creatures with shadow so that opponent cannot block this creature . .

Kind of a pain to get going due to needing other cards to work to full effectiveness and such, but easy to use creature kill that pumps Dauthi Ghoul at the same time is a big deal over the course of a game. The biggest issue is simply the lack of available shadow creatures to truly build powerful decks from. Dauthi Warlord and Ghoul are easy to use for heavy aggro and the control theme opens itself much more to being controlled.

I'd recommend instead using Dauthi Trapper and standard kill cards to pump the Ghoul while not worrying about removal, summoning sickness, etc.. Anytime something is going to die, tap the trapper so Ghoul gets his free pump. No mana, easy to do.

This guy has a place, but again, the control theme works less well with a standard shadow deck built around the dauthi, and works much better instead as a comborific repeatable destroy. That said, usually Royal assassin will treat you better as he's only one card, helps keep opponents at bay (for the threat of destruction) and BEGS to be removed. This guy tells you that you can remove something else to render him harmless, which is largely what makes him less attractive.

I do say sir! I believe your shadow creatures stand no chance!

Nice card, I believe it deserves this rating of 3.5/5!
