The charm is alright. The lifegain part is very weak, considering you start with fourty. But a counterspell is always useful, and the -x/-x can be used to kill utility creatures, mess up combat, or get rid of small indestructible guys.

The best Invasion block charm but not as powerful here, given that you start with 40 life and most dangerous creatures are beyond 2/2. However, versatility is always welcomed in EDH.
