A watered down version of Liflink, I don't like it.

true i never saw it as that, i prefer the black version of this, but i liked the idea of both of them and this kinda ability

I think this is decent simply because your opponent won't want to pay the cost because what you're gaining seems so trivial. However, if they let it slide enough times, it becomes worthwhile. Of course, given the circumstances, those times may not come up all that much.

shoulb be black with some meaner ability, whats about snakes chick charming souls? warmth of the living? she's undead?

This was back when they thought lifelink was worth mana in and of itself. This could easily be considered bad at 2 mana by today's standards. Biggest issue here is that not only is it lifelink, but conditional lifelink. For that conditional lifelink here you're paying roughly 1.5 mana.

How much would you pay for it?

We're talking about life gain vs. mana she cannot use anywhere else.
